What Is A Registered Agent & Why Is It Necessary?

A “Registered Agent” is a person who is designated by the corporation to accept legal documents on behalf of the corporation.  A registered agent is not an insurance agent, rather a “service of process” agent.  This registered agent receives important legal and tax documents including notice of litigation (service of process), franchise tax forms and annual report forms.

A registered agent must be listed on the corporation’s Certificate of Authority (COA) filing form.  The form may require the registered agent’s signature.  There is an annual registered agent service fee.
