Our non-resident insurance licensing team has been asked a multitude of questions when discussing non-resident insurance licensing for insurance agencies and adjuster firms. To help you better understand the importance and issues surrounding non-resident insurance licensing – let’s start from the beginning.
State insurance requirements
Many states require proof of a certificate of authority (COA) when applying for a non-resident insurance license for insurance agencies and adjuster firms. A Certificate of Authority, also known in some states as a Foreign Qualification, is a legal document filed with the Secretary of State that gives the organization the authority to conduct business in a state.
Listing a registered agent
As a part of the COA application, the organization is required to list a “registered agent”. A registered agent, also known as a statutory agent in United States business law, is a business or individual designated to receive service of process (SOP) when a business entity is a party in a legal action such as a lawsuit or summons.
The registered agent’s address may also be where the state will send the paperwork for the yearly renewal of the business entity’s charter. The registered agent for a business entity may be an individual member of the company, or (more often) a third party, such as the organization’s lawyer or a service company. Failure to properly maintain a registered agent can affect a company negatively.
